8-K Material Events

Tracks SEC Form 8-K filings for a curated universe of ~215 liquid, US-listed large/mid-caps (verified in the tradeable universe), pulling item codes directly from the SEC submissions API. For each high-signal item (Material Definitive Agreement, Completion of Acquisition, Other Material Event, Reg FD, Bankruptcy) it reads the filing and classifies the near-term direction, emitting a directional trade_card only for clear bullish/bearish catalysts and skipping routine debt/dividend/administrative filings. Earnings (2.02) and officer-change (5.02) items are excluded as direction-ambiguous. Conviction reflects how clean and material the catalyst is.

An 8-K is filed for a material, market-moving event. The catch: the SEC item code tells you the category (a 'material agreement') but not whether it's bullish or bearish. We read the actual filing and only surface clear catalysts — a customer/contract win, a buyback, a positive trial, an accretive deal (long), or a dilutive raise, a lost contract, a bankruptcy (short) — and skip everything routine. No coin-flip cards.
