8-K Material Events
Tracks SEC Form 8-K filings for a curated universe of ~215 liquid, US-listed large/mid-caps (verified in the tradeable universe), pulling item codes directly from the SEC submissions API. For each high-signal item (Material Definitive Agreement, Completion of Acquisition, Other Material Event, Reg FD, Bankruptcy) it reads the filing and classifies the near-term direction, emitting a directional trade_card only for clear bullish/bearish catalysts and skipping routine debt/dividend/administrative filings. Earnings (2.02) and officer-change (5.02) items are excluded as direction-ambiguous. Conviction reflects how clean and material the catalyst is.

An 8-K is how companies disclose material events — leadership changes, deals, restructurings, delistings — between earnings. It's often the first public sign that something important just changed.
